Welcome to Aron Helps (the “Platform”), a service that connects domestic help providers with individuals seeking such services in Nigeria. These Terms of Service (“Terms”) govern your access to and use of our Platform, website, mobile application, and associated communication channels including the website at www.aronhelps.com, contact forms, emails, phone calls, and WhatsApp communications.
The Platform is operated by Aron Helps (“Company”, “we”, “us”, or “our”), registered in Nigeria with registration number [number] and having its registered address at [address].
By accessing or using the Platform, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Platform.
Definitions
In these Terms, the following definitions apply:
“Account”: your registration account on the Platform.
“Communication Channels”: all methods of interaction including but not limited to the Platform’s website, contact forms, email, phone calls, WhatsApp, and any other digital or verbal communication methods provided by Aron Helps.
“Content”: all information, text, images, data, links, software, or other material that you or other users provide, upload, or submit to the Platform.
“Domestic Help Provider”: an individual who offers domestic services through the Platform.
“Service Seeker”: an individual or entity seeking domestic help services through the Platform.
“Services”: the services offered through the Platform, including but not limited to connecting Domestic Help Providers with Service Seekers.
“User”: any person who uses the Platform, whether as a Domestic Help Provider or Service Seeker.
Account Registration and User Obligations
Account Registration
To use certain features of the Platform, you must register for an Account. When you register, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.
Age Restrictions
You must be at least 18 years old to create an Account and use the Platform. By creating an Account, you represent and warrant that you are at least 18 years old.
For Domestic Help Providers:
Proof of age may be required during registration and verification
Any attempts to misrepresent age will result in immediate account termination
The Company is committed to preventing child labour and will take all necessary steps to ensure compliance with Nigerian child protection laws
User Obligations
When using the Platform, you agree to:
Comply with all applicable laws and regulations in Nigeria;
Provide accurate and truthful information;
Maintain the security of your Account;
Not use the Platform for any illegal purpose;
Not interfere with or disrupt the Platform or servers;
Not attempt to access another user’s Account without permission;
Not use the Platform to transmit any harmful code or malware;
Not engage in any activity that could damage, disable, or impair the Platform.
Platform Services
Nature of Services
The Platform provides a venue for Domestic Help Providers and Service Seekers to connect. The Company does not provide domestic services itself and is not a party to any agreements between Users. The Company is not responsible for the conduct of any User or the quality of services provided.
No Employment Relationship
The Platform does not create an employment relationship between:
The Company and any User;
Service Seekers and Domestic Help Providers.
The relationship between Service Seekers and Domestic Help Providers is that of independent contractors, and Users are responsible for complying with all applicable employment and tax laws.
Verification
While we may conduct background checks or verification procedures for Domestic Help Providers, we do not guarantee the accuracy of such checks. Service Seekers are responsible for verifying the identity, qualifications, and suitability of any Domestic Help Provider they engage.
No Guarantee
We do not guarantee that:
You will find suitable Domestic Help Providers or Service Seekers;
Domestic Help Providers will accept any particular job;
Service Seekers will hire any particular Domestic Help Provider;
The services provided will be of any particular quality or standard.
Fees and Payments
Platform Fees
Aron Helps charges fees for the use of certain features of the Platform. Current fees are published on the Platform and are subject to change with reasonable notice. All fees are non-refundable unless otherwise stated.
Payment Processing
Payments between Users may be processed through the Platform or arranged directly between Users as specified in the Platform guidelines. When payments are processed through the Platform:
We use third-party payment processors;
You agree to comply with their terms and conditions;
We are not responsible for any errors or omissions by payment processors.
Taxes
Users are responsible for all applicable taxes associated with their use of the Platform and services arranged through it, including but not limited to Value Added Tax (VAT) and income tax.
Content and Intellectual Property
User Content
By submitting, posting, or displaying Content on the Platform, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such Content for the purpose of providing and promoting the Platform.
Prohibited Content
You agree not to post Content that:
Is false, inaccurate, or misleading;
Infringes on any third party’s intellectual property rights;
Is defamatory, obscene, pornographic, vulgar, or offensive;
Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group;
Is violent or threatening or promotes violence or actions that threaten any person or entity;
Promotes illegal activities.
Intellectual Property Rights
All intellectual property rights in the Platform, including but not limited to copyright, trademarks, trade names, and designs, are owned by the Company or its licensors. Nothing in these Terms grants you any right to use the Company’s intellectual property without express written permission.
Reviews and Ratings
Review System
The Platform may include a review and rating system allowing Users to rate and review each other. You agree that:
You will provide honest and accurate reviews;
You will not provide reviews in exchange for payment or other benefits;
We may remove reviews that violate these Terms or appear to be fraudulent.
Non-Disparagement
You agree not to make false or disparaging statements about the Company, the Platform, or other Users that could damage their reputation.
Privacy
We collect, use, and disclose personal information in accordance with our Privacy Policy, which is incorporated into these Terms by reference.
Termination
Termination by User
You may terminate your Account at any time by following the instructions on the Platform or by contacting us.
Termination by Company
We may suspend or terminate your Account and access to the Platform at any time, without notice, for conduct that we determine violates these Terms, is harmful to other Users, to us, or to third parties, or for any other reason at our discretion.
Effects of Termination
Upon termination:
Your right to access and use the Platform will immediately cease;
We may delete your Content and Account information;
Provisions of these Terms that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, and liability limitations.
Disclaimers
“As Is” and “As Available”
The Platform is provided on an “as is” and “as available” basis. The Company expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
No Guarantees
We do not guarantee that:
The Platform will be uninterrupted, timely, secure, or error-free;
The results that may be obtained from the use of the Platform will be accurate or reliable;
The quality of any services, information, or other material obtained through the Platform will meet your expectations.
Limitation of Liability
Exclusion of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
Your access to or use of or inability to access or use the Platform;
Any conduct or content of any third party on the Platform;
Any unauthorised access to or use of our servers and/or any personal information stored therein.
Maximum Liability
In no event shall the Company’s total liability to you for all claims arising from or relating to these Terms or your use of the Platform exceed the amount paid by you to the Company during the six (6) months immediately preceding the event giving rise to such liability.
Indemnification
You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, agents, and licensors from and against all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising from or relating to:
Your use of the Platform;
Your Content;
Your violation of these Terms;
Your violation of any rights of another person or entity.
Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
Dispute Resolution
Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria, 2004) by one or more arbitrators appointed in accordance with the said Act. The place of arbitration shall be Lagos, Nigeria.
Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on the Platform and updating the “Last Updated” date. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
General Provisions
Entire Agreement
These Terms constitute the entire agreement between you and the Company regarding your use of the Platform and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter.
Waiver
No failure or delay by the Company in exercising any right under these Terms shall constitute a waiver of that right.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Assignment
You may not assign these Terms or any rights or obligations hereunder without the Company’s prior written consent. The Company may assign these Terms without restriction.
No Third-Party Beneficiaries
These Terms do not confer any rights or remedies upon any person other than the parties and their respective successors and permitted assigns.
